PaiMerchant App – Terms & Conditions
(Under PaiNest Ecosystem)

Welcome to PaiMerchant App, a platform operated by PaiNest, enabling merchants to sell
products/services to customers via digital channels including PaiMart and other PaiNest services.
By registering as a merchant, you agree to the following Terms & Conditions.
1. Definitions
- “Platform”: PaiMerchant App and all PaiNest services
- “Merchant”: Any individual or business registered to sell
- “Customer”: End user purchasing via PaiNest ecosystem
- “Order”: A confirmed purchase transaction
- “Commission”: Fee charged by PaiNest on each sale
2. Merchant Registration
- Merchant must provide valid business information, NID/Trade License (if applicable)
- PaiNest reserves the right to approve/reject any application
- Merchant is responsible for maintaining accurate profile & bank details
3. Products & Services
- Merchant must ensure:
- Products are authentic, legal, and safe
- No sale of prohibited items (illegal goods, counterfeit, harmful products)
- PaiNest may remove listings without notice
4. Pricing & Orders
- Merchant sets product price, but must:
- Maintain competitive and fair pricing
- Honor all confirmed orders
- Once order is placed:
- Merchant must process within defined SLA (e.g., 24 hours)
- Cancellation without valid reason may lead to penalties
5. Commission & Fees
- PaiNest will charge:
- Commission per order (%)
- Optional service fees (ads, promotions, logistics, etc.)
- Commission will be deducted automatically before payout
- Subscription Model:
- PaiMerchant Pro (Monthly fee)
- Lower commission
- Better visibility
- Faster payouts
6. Payments & Settlement
- PaiNest collects payments from customers
- Merchant payouts:
- Processed weekly / bi-weekly
- Subject to deduction of:
- Commission
- Returns/refunds
- Penalties (if any)
- PaiNest reserves right to hold payments in case of disputes
7. Delivery & Fulfillment
- Merchant can choose:
- Self-delivery OR
- PaiNest logistics service
- Merchant must:
- Ensure proper packaging
- Maintain delivery timeline compliance
8. Returns, Refunds & Disputes
- Merchant must accept returns in case of:
- Damaged products
- Wrong items
- Quality issues
- PaiNest has final authority in dispute resolution
- Refund amount may be deducted from merchant balance
9. Merchant Responsibilities
Merchant agrees to:
- Maintain quality standards
- Avoid fake orders / manipulation
- Provide customer support when required
- Comply with Bangladesh laws and regulations
10. Prohibited Activities
Merchant must NOT:
- Sell counterfeit or illegal products
- Mislead customers with false information
- Manipulate ratings/reviews
- Abuse platform policies
Violation may result in:
- Account suspension
- Permanent ban
- Legal action
11. Ratings & Reviews
- Customers can rate merchants
- Poor performance may lead to:
- Reduced visibility
- Penalties
- Suspension
12. Data & Privacy
- Merchant agrees that PaiNest may:
- Use transaction data for analytics
- Improve services
- Merchant must NOT misuse customer data
13. Intellectual Property
- Merchant grants PaiNest the right to:
- Use product images/content for marketing
- Merchant must not use unauthorized IP
14. Account Suspension & Termination
- PaiNest may suspend or terminate account if:
- Policy violations
- High cancellation rate
- Customer complaints
- Merchant may also request termination with notice
15. Limitation of Liability
- PaiNest is not liable for:
- Merchant product defects
- Delivery issues (if self-managed)
- Indirect or consequential damages
16. Amendments
PaiNest may update Terms at any time. Continued use = acceptance of updated terms.
17. Governing Law
These terms are governed by the laws of Bangladesh.
